Jaipur is the commercial capital of Rajasthan, and its businesses range from gem cutters and jewellers in the walled city to garment and handicraft exporters in Sitapura, real estate developers along the Ajmer and Tonk roads, hotels across the city, and the many trading companies that supply the rest of the state. When disputes with these businesses involve large unpaid debts, failing companies or quarrelling shareholders, they come before NCLT Jaipur at Corporate Bhawan in Civil Lines.

We serve Jaipur clients through an associate office in the city, with our Delhi NCR team, about five hours away, preparing papers and strategy and attending contested hearings as agreed. This page explains what we do for Jaipur businesses and individuals, the questions they most often bring us, and how a matter runs.

Credit chains in Jaipur

Exporters and their suppliers

Jaipur's export businesses, in gems, jewellery, garments, home furnishings and handicrafts, buy on credit from local suppliers and sell abroad on credit terms of their own. When a foreign buyer delays payment, the exporter often delays its suppliers. A supplier owed Rs 1 crore or more may consider a Section 9 petition, but many disputes in these trades involve quality, rejections and short shipments, and a dispute raised before the demand notice will defeat insolvency. In those cases, a commercial suit, or for registered micro and small suppliers the MSME Facilitation Council, may work better. For exporters, the risk runs the other way: an undisputed debt ignored for months can lead to admission and loss of control.

Dividing control fairly

Family companies in Jaipur

Many Jaipur businesses are run by joint families through private companies, with shares spread across brothers, their wives and the next generation. When the family splits, the company is often the battleground: who controls the bank account, who signs for the shop or the factory, who holds the property. An oppression petition before NCLT Jaipur can stop one side from acting unilaterally and, where the company works like a partnership, lead to a fair buy-out. Mediation often follows interim orders, and settlements recorded before the NCLT are enforceable.

Our approach

How we work for Jaipur clients

We are a litigation practice led by Advocate BK Singh, with offices in Dwarka (New Delhi) and Vaishali (Ghaziabad), and an associate office in Jaipur. This is what you can expect:

  • Local access: an associate office in Jaipur.
  • Close enough to travel: our team attends contested hearings as agreed.
  • The right route for the debt: NCLT, MSME Council, suit or negotiation.
  • Appeals handled ourselves: at the NCLAT in New Delhi.
  • Written fee terms: agreed stage by stage, never linked to the outcome.
Avoid these

Mistakes Jaipur clients often make

  • Using Section 9 where quality complaints were made before the notice
  • Exporters ignoring an undisputed demand notice
  • Leaving a struck-off company unrestored until a sale fails
  • Filing against a group company registered outside Rajasthan in Jaipur
  • Waiting too long in a family dispute while assets are moved

A jewellery manufacturer and its gold supplier

Here's a made-up example. A bullion supplier had supplied gold on credit to a Jaipur jewellery manufacturer, which owed Rs 2 crore. The manufacturer had signed monthly balance confirmations and never disputed the quantity or purity.

We sent a demand notice under Section 8 to the manufacturer's registered office in Jaipur, attaching the invoices and confirmations. No notice of dispute came within ten days. A Section 9 application was filed before NCLT Jaipur. Facing admission, the manufacturer returned part of the gold in kind and paid the balance in instalments, and the application was withdrawn.

A family property company split

Here's a second made-up example. Three brothers jointly owned a Jaipur company that held two commercial buildings. After their mother's death, they could not agree on whether to sell. One brother collected all the rent.

The other two filed an oppression petition before NCLT Jaipur. The bench directed that rent be deposited in a separate account pending the hearing. In mediation, the brothers agreed to a demerger that put one building into a new company for the two brothers, leaving the other with the original company.

Choosing the route

Jaipur real estate and homebuyers

Jaipur's growth along the Ajmer Road, Tonk Road, Jagatpura and Mansarovar areas brought many housing and commercial projects, and some developers struggled to finish them. Buyers in a stalled project can approach Rajasthan RERA for refund with interest or possession with delay compensation, or a consumer commission for deficiency in service. The NCLT route, a Section 7 petition by at least 100 allottees or 10% of the allottees of the same project, whichever is less, puts the developer's company into CIRP and gives buyers a vote on a resolution plan through their authorised representative. It suits cases where the developer cannot finish and buyers want someone else to complete the project. Many Jaipur developers use separate companies for each project, so check which company signed your agreement before choosing.

Partner disputes

Hotels and heritage properties

Jaipur has many hotels run by companies owned by two or three families, or by a family and an investor. When partners fall out, the hotel can suffer quickly: bookings slip, staff go unpaid and the property is neglected. An oppression and mismanagement petition can bring in interim protection, such as an independent auditor, restrictions on selling or mortgaging the property, or directions on sharing accounts. Because the hotel's land and building are usually the company's main asset, tribunals are careful to preserve them while the dispute is decided. Where trust has broken down, a buy-out at a fair value is the usual outcome.
