Kolkata has been a corporate centre for well over a century, and many of India's oldest companies are still registered there. The Kolkata Bench of the National Company Law Tribunal hears insolvency and company cases for companies registered in West Bengal, Bihar, Jharkhand and the Andaman and Nicobar Islands. Its work includes tea gardens and jute mills, steel and engineering companies, coal and mineral businesses from Jharkhand, NBFCs and investment companies, and family groups with complex shareholding structures.

The bench sits in Corporate Bhawan, Akandakeshari, New Town, Kolkata. This page explains which companies it covers, what is distinctive about matters from the region, how cases move, and how we work through our associate office in Kolkata.

Jurisdiction

Which companies go to Kolkata

Under Section 60(1) of the Insolvency and Bankruptcy Code, the bench is decided by the registered office. A Patna or Ranchi company goes to Kolkata, as do companies in Port Blair. But Odisha companies go to Cuttack, and Sikkim companies to Guwahati, even though they are nearby.

Kolkata is home to many layered corporate groups, where investment companies hold shares in operating companies and in each other. When a dispute arises in such a group, several companies may be involved, and each petition must be filed for the right company. Older companies may also have records going back decades, with shares held in physical form and registers that have not been updated. We often begin with a careful review of the register of members, share transfer records and MCA filings before deciding what to file.

Steel and engineering

Durgapur, Asansol and Jamshedpur companies with lender and supplier claims.

Coal and minerals

Jharkhand mining and coal-related companies, where leases and state dues affect value.

Investment and NBFC companies

Bihar businesses

Step by step

How a matter moves at NCLT Kolkata

1

Check jurisdiction and records

We confirm the registered office and, for older companies, review the register of members and past filings.

2

Prepare and e-file

Papers are filed on the NCLT e-filing portal with the fee paid online.

3

Defects and listing

The registry notifies defects, which must be cured within the time allowed. The matter is then numbered and listed.

4

Hearings

Matters are heard on the dates in the cause list. Virtual appearance may be allowed, depending on current practice.

5

Orders and appeals

Orders are uploaded on the NCLT website. Appeals go to the NCLAT at New Delhi.

An eastern India issue

Workers' dues in tea and jute insolvencies

Tea gardens and jute mills employ large numbers of workers, and their insolvencies often involve years of unpaid wages, provident fund and gratuity. Under Section 36(4) of the Code, sums due to workers from provident fund, pension and gratuity funds do not form part of the liquidation estate. Workmen's dues for 24 months before liquidation rank alongside secured creditors who relinquish their security under Section 53.

In a CIRP, workers' representatives can file claims in Form D or through an authorised representative in Form E, and resolution plans must deal with their dues. Plantation companies may also hold land on lease from the state, which raises questions about transfer to a new owner. Workers' unions and bidders both benefit from early legal advice. See filing claims and liquidation.

Our approach

How we work on eastern India matters

We are a litigation practice led by Advocate BK Singh, with offices in Dwarka (New Delhi) and Vaishali (Ghaziabad), and an associate office in Kolkata. For matters at New Town, this is what you can expect:

  • Records reviewed first: for older companies, we check registers and past filings before advising.
  • Local appearance: associate counsel in Kolkata attend hearings and the registry.
  • Group structures mapped: we identify which company in a layered group is the right party.
  • Honest advice: where another forum suits better, we say so.
  • Written fee terms: agreed stage by stage, never linked to the outcome.

Heirs and an old Kolkata company

Here's a made-up example. The grandchildren of a founder of an old Kolkata trading company discovered that their late father's shares, held in physical form, had been transferred to their uncle years after their father's death, using a transfer deed apparently signed before he died.

We obtained the company's register of members and the transfer records, and compared the signature on the transfer deed with admitted signatures. A rectification petition under Section 59 was filed before NCLT Kolkata, along with an oppression petition because the uncle had used the shares to control the board. The bench directed the company not to deal with the disputed shares pending the hearing, and later ordered rectification of the register in favour of the heirs.

A Jharkhand supplier and a steel company

Here's a second made-up example. A Ranchi company supplied refractory bricks worth Rs 1.8 crore to a Durgapur steel company. The steel company paid irregularly and finally stopped. There were no complaints about quality, but the steel company claimed it had a counter-claim for delays.

We reviewed the correspondence and found that the delay complaint was raised only after the demand notice, so it was not a pre-existing dispute under Mobilox. A Section 9 application was filed before NCLT Kolkata. The bench admitted it. The steel company then approached the supplier for settlement under Section 12A once the committee was formed, which the creditors approved.

Avoid these

Mistakes we see in eastern India filings

  • Filing an Odisha or Sikkim company's case in Kolkata
  • Filing against the wrong company in a layered investment group
  • Ignoring physical share records in an old company dispute
  • Treating workers' provident fund and gratuity as part of the estate
  • Missing the date of a dispute raised before the demand notice
Practical preparation

Before your first hearing

For clients outside Kolkata, we prepare a short hearing note with the dates, the amounts, the demand notice and any reply, and page references to the paper book. For old family companies, the note also sets out the shareholding history, because the bench will want to understand who held what and when. Where interim relief is needed, for example to stop the transfer of disputed shares or the sale of a property, we explain clearly why harm is likely before the next date.

A Kolkata point

Old companies and physical share records

Many Kolkata companies were incorporated decades ago and still have shareholders holding physical share certificates. Unlisted public companies must now issue shares only in demat form and facilitate dematerialisation of existing shares, and private companies, other than small companies, have been brought under a similar requirement. Where share records are in physical form, disputes about transfers, transmissions and forged deeds are more common.

Before filing, we compare the physical register, the share certificates, the annual returns filed on the MCA portal and any demat records. Gaps between them are often the key to the case. A rectification petition can correct the register, and an oppression petition can address wider misconduct.
