Ahmedabad's businesses are known for their trading networks and family ownership: textile and yarn traders, chemical and pharma companies around Vatva, Naroda and Changodar, engineering firms, real estate developers along S.G. Highway and in the new suburbs, and a growing number of financial firms linked to GIFT City. Many are run by families across generations, and many depend on credit from suppliers and banks. When things go wrong, NCLT Ahmedabad at Thaltej is often where they end up.

We serve Ahmedabad clients through an associate office in the city, with our Delhi NCR team preparing papers and strategy. That suits Gujarat clients with matters before NCLT Ahmedabad, and northern clients dealing with Gujarat counterparties. This page explains what we do, the questions Ahmedabad businesses bring us most, and how a matter runs.

Using the NCLT constructively

Dividing a family business in Gujarat

Many Gujarat families do not want a fight; they want a fair and final division. The NCLT offers tools for that, not just for disputes. A scheme of demerger under Sections 230 to 232 can move one business into a new company, with shares issued to all shareholders in proportion, after which a share swap gives each branch full ownership of its business. A selective reduction of capital can buy out one branch. Because a sanctioned scheme binds all shareholders and creditors, it gives certainty that a private agreement cannot.

These schemes need careful tax planning, since demergers must meet conditions to be tax-neutral, and the new Income-tax Act in force from 1 April 2026 should be checked for the corresponding provisions. Lenders' consent, transfer of licences and the treatment of shared properties also need planning. Where the family is already in litigation, a scheme can be part of the settlement, so that all cases end when it is sanctioned.

For suppliers

Chemical and textile buyers who go quiet

Suppliers of dyes, chemicals, yarn and fabric to Ahmedabad companies sometimes find that a buyer stops paying and stops answering. Before deciding on a route, check three things. Is the amount at least Rs 1 crore? Has the buyer ever complained about quality, quantity or delivery before you demanded payment? And has the buyer acknowledged the debt in writing, for example in a ledger confirmation? If the answers are yes, no and yes, a demand notice under Section 8, followed by a Section 9 petition, is often effective. If not, a commercial suit or the MSME Facilitation Council may be better.

Our approach

How we work for Ahmedabad clients

We are a litigation practice led by Advocate BK Singh, with offices in Dwarka (New Delhi) and Vaishali (Ghaziabad), and an associate office in Ahmedabad. This is what you can expect:

  • Local access: an associate office in Ahmedabad.
  • Constructive use of the NCLT: schemes for families who want a clean division.
  • The right route for the debt: NCLT, MSME Council, suit or negotiation.
  • Northern clients supported: meet in Delhi NCR for Gujarat matters.
  • Written fee terms: agreed stage by stage, never linked to the outcome.
Avoid these

Mistakes Ahmedabad clients often make

  • Dividing a family business by private agreement without a binding scheme
  • Ignoring tax conditions for a demerger
  • Using Section 9 where quality was disputed before the notice
  • Filing against a Mumbai holding company in Ahmedabad
  • Waiting too long while a quiet buyer moves assets

A dye supplier and an Ahmedabad processor

Here's a made-up example. A Vapi dye maker supplied dyes worth Rs 1.3 crore to an Ahmedabad textile processor, which had signed a ledger confirmation and never complained about quality. After a slow season, the processor stopped responding to calls.

We sent a demand notice under Section 8 to the processor's registered office. No notice of dispute came within ten days. A Section 9 application was filed before NCLT Ahmedabad. At the first hearing, the processor's director appeared and offered a payment plan secured by post-dated cheques, which the supplier accepted. The application was withdrawn.

Two branches and a selective reduction

Here's a second made-up example. A Gujarat engineering company was owned 60% by one branch of a family and 40% by another. The minority branch wanted to exit with cash rather than a separate business. A buy-back would not return enough in one year within the legal limits.

We structured a selective reduction of capital under Section 66, cancelling the minority branch's shares against payment at a value fixed by a registered valuer. The special resolution was passed, creditors were notified, and NCLT Ahmedabad confirmed the reduction after the company provided for one objecting creditor's claim.

A new area

GIFT City and Gujarat-registered finance companies

GIFT City at Gandhinagar has brought a new type of company to Gujarat: fund managers, finance companies, aircraft leasing businesses and banking units set up in the International Financial Services Centre. These entities are incorporated in Gujarat, so company law and insolvency matters involving them generally come to NCLT Ahmedabad, though they are regulated by the International Financial Services Centres Authority, which has its own rules on matters such as fund structures and capital. Disputes involving IFSC entities may also be subject to arbitration clauses seated in GIFT City or abroad. We check the IFSCA framework and the contract terms before advising on forum.

Choosing the route

Real estate and homebuyers in Ahmedabad

Ahmedabad's new suburbs along S.G. Highway, S.P. Ring Road and towards Gandhinagar have seen many housing projects. Buyers in a stalled project can approach Gujarat RERA for refund with interest or possession with delay compensation, or a consumer commission. The NCLT route, a Section 7 petition by at least 100 allottees or 10% of the allottees of the same project, whichever is less, is better suited where the developer cannot finish and buyers want completion by a new developer. Check which company signed your agreement, as developers often use separate companies for each project, and whether it is registered in Gujarat.
