The Guwahati Bench of the National Company Law Tribunal covers the largest area of any NCLT bench in terms of states: Assam, Arunachal Pradesh, Manipur, Meghalaya, Mizoram, Nagaland, Tripura and Sikkim. It hears fewer cases than the big metropolitan benches, but they are often unusual. Tea companies, cement and coal businesses in Meghalaya, oil and gas service providers in upper Assam, hydro power projects in Arunachal and Sikkim, hotels, construction contractors and small manufacturers all come before it.

The bench sits on the 1st floor of BSNL Bhawan, Ananda Ram Baruah Road, Panbazar, Guwahati. This page explains which companies it covers, the special issues that arise in the region, how cases move, and how we handle matters with associate counsel and online consultation, supported by our Delhi NCR team.

How we work here

We handle matters with associate counsel for appearances, offer online consultation, and prepare papers from our Delhi NCR offices.

Jurisdiction

Which companies go to Guwahati

Under Section 60(1) of the Insolvency and Bankruptcy Code, the bench is decided by the registered office. A company registered anywhere in the eight states goes to Guwahati. Many tea companies with gardens in Assam, however, are registered in Kolkata, and those cases go to NCLT Kolkata. Sikkim, though geographically close to West Bengal, is covered by the Guwahati Bench.

Distance can be an issue for parties. Filing is online, and the bench may allow virtual appearance in suitable matters, which helps parties in remote areas and outside the region. Service of notice can take longer in hill districts, and we plan for it by using every address and email on MCA records, and asking for substituted service where needed.

A North-East point

Land laws and constitutional protections

Land in many parts of the North-East is governed by special laws. Sixth Schedule areas have autonomous district councils with powers over land. Several states restrict transfer of land to people who are not members of local communities, and some require permits for entry. In Nagaland, Mizoram and parts of other states, constitutional provisions protect customary land ownership.

These rules matter in insolvency. A company may hold land on lease or with permissions that cannot simply be transferred to a new owner. A bidder may be unable to acquire land in its own name. A liquidator may find that land cannot be sold to the highest bidder if the bidder is not eligible under local law. Resolution plans and asset sales must respect these laws. We look at the land position early and work with local counsel on it.

Our approach

How we work on North-East matters

We are a litigation practice led by Advocate BK Singh, with offices in Dwarka (New Delhi) and Vaishali (Ghaziabad). For matters at Guwahati, this is what you can expect:

  • Online first meeting: we review papers and advise by video, saving travel.
  • Associate counsel: we work with advocates who appear before the Guwahati Bench and know local land law.
  • Service planned: we use every available address and email, and seek substituted service where needed.
  • Land checked early: we flag transfer restrictions before a plan or sale is built around the land.
  • Written fee terms: agreed stage by stage, never linked to the outcome.
Avoid these

Mistakes we see in North-East matters

  • Filing an Assam tea garden's case in Guwahati when the company is registered in Kolkata
  • Ignoring land transfer restrictions when bidding or buying assets
  • Relying on one address for service in a remote district
  • Assuming Sikkim companies go to the Kolkata bench
  • Missing the date of any dispute raised before the demand notice
Illustration

An oil services contractor and its client

Here's a made-up example. A Gujarat equipment supplier rented drilling equipment worth Rs 1.5 crore a year to an oil services contractor registered in Dibrugarh. Rent for eight months went unpaid. The contractor kept promising payment once its own client paid.

We confirmed the contractor's registered office in Assam and sent a demand notice under Section 8. No notice of dispute came within ten days. A Section 9 application was filed before NCLT Guwahati, and the supplier attended hearings by video. Facing admission, the contractor assigned part of its receivable from its client to the supplier, and the application was withdrawn.

Illustration

A hotel company and local land rules

Here's a second made-up example. A hotel company registered in Meghalaya defaulted on its bank loan. The bank considered a Section 7 application but was concerned about the land, which was held under local arrangements that restricted transfer.

We reviewed the land documents and local rules. The hotel building and business could be sold as a going concern to an eligible buyer, but the land could not be transferred freely. The bank chose to negotiate a restructuring instead of filing, with a local investor taking a stake in the company. Insolvency would have run into the same land question, and the restructuring avoided it.

Practical preparation

Before your first hearing

For parties outside the region, the first hearing is often attended by video. We make sure the link is received, the paper book is shared in advance, and a short note of dates and amounts is ready. The bench may ask whether notice has been served, so we keep proof of every mode of service on record. Where the corporate debtor has not appeared, we are ready to explain the steps taken to serve it and to ask for appropriate directions.

A sector note

Tea companies and workers' dues

Tea companies in Assam employ large workforces, often living on the estate, and their insolvencies raise questions about wages, provident fund, gratuity, housing and welfare obligations under plantation labour laws. Under Section 36(4) of the Code, provident fund, pension and gratuity sums are not part of the liquidation estate. Workmen's dues for 24 months before liquidation rank alongside secured creditors who relinquish their security. Garden land is frequently held on lease from the state, which affects what a buyer can acquire. Workers' unions, lenders and bidders all benefit from addressing these points early in the process.
