Many people are surprised to learn that a company with its registered office in Noida or Ghaziabad, a few kilometres from Delhi, has its NCLT cases heard in Prayagraj, about 650 kilometres away. That is because the Allahabad Bench of the National Company Law Tribunal covers every company registered in Uttar Pradesh and Uttarakhand. Insolvency petitions, oppression cases, schemes of merger and restoration applications for these companies all go there.

The bench sits at 6/7-B, Panna Lal Road, Prayagraj. It hears a heavy share of real estate insolvencies from the Noida and Greater Noida belt, along with manufacturing, sugar, education and hospitality companies from across the two states. This page explains what the bench covers, how filing and hearings work when you are based in NCR, and how we handle matters there from our Vaishali office with associate counsel in Prayagraj.

Key facts

NCLT Allahabad at a glance

Address

6/7-B, Panna Lal Road, Prayagraj 211002, Uttar Pradesh. The registry's email and phone number are listed on the NCLT website.

Territorial jurisdiction

Companies and LLPs whose registered office is in Uttar Pradesh or Uttarakhand. This includes the whole of Gautam Buddh Nagar (Noida and Greater Noida) and Ghaziabad, even though they are part of the National Capital Region.

Registrars

UP companies are registered with the ROC at Kanpur, and Uttarakhand companies with the ROC at Dehradun. The ROC is a party in restoration cases and receives notice in schemes.

Kinds of cases

A large number of real estate insolvencies from the Noida region, along with cases involving manufacturers, sugar mills, hotels, schools run through companies, and family businesses across the two states.

Appeals

Appeals go to the NCLAT at New Delhi, not to a bench in UP. That is often more convenient for NCR clients.

Who we are here

Our Vaishali office in Ghaziabad prepares and files matters, and we work with associate counsel based in Prayagraj for appearances, with virtual appearance where the bench permits it.

Jurisdiction

Why a Noida company goes to Prayagraj

NCLT benches are organised by state, and the bench for a company is fixed by its registered office. Section 60(1) of the Insolvency and Bankruptcy Code says this for insolvency cases, and the same principle applies to company petitions. Uttar Pradesh is covered by the Allahabad Bench as a whole, so it makes no difference that Noida is next to Delhi. A Noida builder's insolvency is heard in Prayagraj, while a builder with its registered office in Delhi, even if all its projects are in Noida, is heard in New Delhi.

This matters for homebuyers. Many real estate groups have several companies, some registered in Delhi and some in Noida. The company that signed your builder-buyer agreement decides the bench. Check the agreement and the company's master data on the MCA portal before filing. One of the most watched homebuyer insolvencies, that of Jaypee Infratech, began at this bench in 2017, and the Noida belt has continued to produce such cases since.

For a personal guarantor of a loan to a UP company, the case also goes to Allahabad, wherever the guarantor lives. And where a company has recently moved its registered office from UP to Delhi, or the other way, check the date: what usually counts is the registered office on the date the application is filed, and tribunals look closely at shifts made just before a case.

Step by step

How a matter moves at NCLT Allahabad

1

Prepare and e-file from NCR

Petitions are filed on the NCLT e-filing portal with scanned, paginated and bookmarked papers, so there is no need to travel to Prayagraj to file. We prepare and file from our Vaishali office and check the bench's current notices on hard copies.

2

Defects and listing

The registry examines the filing and notifies any defects, which must be cured within the time allowed (seven days for insolvency applications under the Code). The matter is then numbered and listed.

3

Service on the other side

For insolvency applications, the applicant must serve a copy on the corporate debtor before filing and file proof. For company petitions, the bench directs notice at the first hearing.

4

Hearings

The bench has allowed virtual appearance in many matters, which helps NCR parties. Where physical appearance is needed, our associate counsel in Prayagraj attends. For contested final hearings, we decide with you whether a senior member of our team should travel.

5

Orders and appeals

Orders are uploaded on the NCLT website. For IBC matters, the 30-day appeal period starts on pronouncement. Appeals are filed before the NCLAT in New Delhi.

Noida and Greater Noida

Real estate cases: what homebuyers should know

Homebuyers in Noida, Greater Noida and Ghaziabad projects often have three forums open to them: UP RERA, the consumer commissions and the NCLT. The NCLT route needs at least 100 allottees or 10% of the allottees of the same project, whichever is less, under the proviso to Section 7(1). Once admitted, the builder's board is suspended and homebuyers, through their authorised representative, sit on the committee of creditors.

The NCLAT has accepted a project-wise approach in some cases, limiting the insolvency to the stalled project so that other projects of the same builder are not disturbed. Whether that suits you depends on the builder's finances and what other buyers want. Before filing, we look at the RERA position, any pending refund orders and the builder's group structure. See our page on the homebuyers' petition, and for RERA refunds, refund with interest.

Our approach

How we work for UP and Uttarakhand matters

We are a litigation practice led by Advocate BK Singh, with offices in Dwarka (New Delhi) and Vaishali (Ghaziabad). For matters at Prayagraj, this is what you can expect:

  • NCR-based preparation: we meet you in Vaishali or Dwarka, prepare the papers and e-file, so you do not need to travel.
  • Associate counsel on the ground: an associate advocate in Prayagraj attends physical hearings and keeps track of the registry.
  • Virtual appearance where allowed: we use the bench's video link where the matter permits, saving cost.
  • Straight advice on forum: for some buyers RERA is faster than NCLT, and we will say so.
  • Written fee terms: agreed stage by stage, including any travel, and never linked to the outcome.
Avoid these

Mistakes we see in UP filings

  • Filing a Noida company's case in New Delhi because the office is in NCR
  • Suing the wrong group company in a real estate group
  • Counting allottees from different projects to reach the homebuyer threshold
  • Missing hearings because the cause list was not checked for virtual links
  • Waiting for a certified copy before counting the IBC appeal period

Homebuyers of a Greater Noida tower

Here's a made-up example. A group of 140 allottees in a Greater Noida residential tower had waited six years past the promised possession date. Construction had stopped. Some buyers had UP RERA refund orders that the builder had not paid.

We checked the builder-buyer agreements and found that the tower was developed by a company registered in Noida, while the group's holding company was registered in Delhi. The petition was filed under Section 7 before NCLT Allahabad against the Noida company. The buyers attended the first hearing by video from NCR. The bench admitted the petition, the IRP took charge of the project, and the buyers' authorised representative joined the committee of creditors, which later approved a plan by a developer to complete the tower.

By type

Cases we commonly see from UP and Uttarakhand

Builder insolvencies

Homebuyer petitions and lender petitions against Noida, Greater Noida and Ghaziabad developers, often with parallel RERA orders and consumer cases.

Sugar and agro companies

Western UP sugar mills and agro processors facing bank defaults, where cane dues to farmers and state dues complicate the waterfall.

Family businesses in Kanpur, Agra and Meerut

Leather, footwear, hosiery and engineering companies where brothers or cousins fall out, leading to oppression petitions and family settlements.

Education and hospitality companies

Schools, colleges and hotels run through private companies in Lucknow and Dehradun, where disputes often concern control of land and buildings.

Struck-off companies

Older companies struck off by ROC Kanpur or ROC Dehradun for not filing returns, whose owners need restoration to sell land or recover money.

Operational creditor claims

Suppliers and contractors chasing Noida-based manufacturers and IT companies under Section 9.

Illustration

Restoring a Dehradun company to sell its land

Here's a second made-up example. A family in Dehradun had a private company that owned a plot on the outskirts of the city. The company stopped filing returns years ago and was struck off by the ROC. When the family found a buyer for the plot, the sub-registrar refused to register the sale because the seller company no longer existed.

We applied to NCLT Allahabad under Section 252, attaching the title deeds, municipal tax receipts and bank records showing the company still held the asset. The ROC did not oppose restoration but asked for pending filings and costs. The bench restored the company, directing it to file all overdue returns within a fixed period. Once restored and compliant, the company completed the sale.
