Ghaziabad has one of the oldest industrial bases in the National Capital Region. Sahibabad, Meerut Road, Loni and the industrial areas along the old GT Road host engineering units, steel fabricators, chemical and paint makers, food processors and a large number of small and medium manufacturers, many of them family owned. Indirapuram, Vaishali, Raj Nagar Extension and the areas along NH-24 have also seen a wave of residential projects, some of which have stalled.
Our second office is in Vaishali, Ghaziabad, which means we are local for clients here. Ghaziabad companies are registered in Uttar Pradesh, so their NCLT cases are heard by the Allahabad Bench in Prayagraj. We prepare and file online from Vaishali and work with associate counsel in Prayagraj, so clients rarely need to travel. This page explains what we do for Ghaziabad clients, the cases common here, and how a matter with us runs.

MSMEs in Ghaziabad: options before a creditor files
Many Ghaziabad manufacturers are registered MSMEs with bank working capital limits and term loans, often backed by the promoters' personal guarantees and the factory as security. When orders fall or a big customer stops paying, the first signs are usually overdrawn limits and delayed supplier payments. At that stage, promoters have more options than they think.
A negotiated restructuring with the bank is often the first step. If that does not work, the MSME pre-packaged insolvency route under Section 54A lets the promoters propose a base resolution plan, with approval of 66% of unrelated financial creditors to start, and keep running the business during the process. Section 240A also allows MSME promoters to bid for their own company even if the account is an NPA, which is not allowed for larger companies. Waiting until a creditor files under Section 7 or 9 usually means losing control of the timing. We advise promoters on these choices, and on protecting their personal position as guarantors.

How we work for Ghaziabad clients
We are a litigation practice led by Advocate BK Singh, with offices in Dwarka (New Delhi) and Vaishali (Ghaziabad). This is what you can expect:
- A local office: meet us in Vaishali, close to Indirapuram, Sahibabad and the industrial areas.
- No need to travel to Prayagraj: we e-file and arrange appearances.
- Promoters' personal position considered: we look at guarantees, not just the company.
- Honest advice: sometimes a negotiated settlement beats any petition.
- Written fee terms: agreed stage by stage, never linked to the outcome.
Mistakes Ghaziabad clients often make
- Waiting until the bank files before considering a pre-pack
- Filing a Ghaziabad company's case in NCLT New Delhi
- Ignoring personal guarantees when planning the company's strategy
- Using Section 9 where the buyer complained about quality before the notice
- Letting an old company stay struck off when it still owns land
A Sahibabad fabricator and its bank
Here's a made-up example. A Sahibabad steel fabrication company, a registered small enterprise, had borrowed Rs 5 crore from a bank. After losing two infrastructure contracts, it defaulted. The promoters had an investor willing to put in fresh money but feared losing the company if the bank filed under Section 7.
We advised an MSME pre-pack. The bank, holding all the financial debt, agreed to start the process. The base plan offered the bank most of its dues over two years, funded partly by the investor, and paid all operational creditors in full, so no competing plans were needed. The plan was approved by the committee and by NCLT Allahabad, and the promoters kept the business.
A Ghaziabad flat buyer's claim
Here's a second made-up example. A buyer in a Raj Nagar Extension project learned from a newspaper notice that the builder had been admitted into CIRP. She had paid 80% of the price and had no possession.
We filed her claim in Form CA with the resolution professional within the time given in the public announcement, attaching her agreement and payment proof, and registered her with the authorised representative for her class. When a plan was put to vote, we explained its terms to her so that she could give informed instructions on how to vote.
Dividing a family company in Ghaziabad
Many Ghaziabad manufacturers began as family partnerships and later became private companies, with shares split among brothers, cousins or the next generation. When the family disagrees, the company often stops working: board meetings are not held, accounts are not signed, and bank limits are frozen because the signatories cannot agree. The NCLT can help in two ways. An oppression and mismanagement petition can stop one side from acting against the other and, in the end, can order one side to buy out the other at a fair value. And a scheme of demerger can divide the businesses so that each branch takes one unit into its own company.
In practice, most family disputes end in settlement once the NCLT has passed interim orders and a valuation is on the table. Tribunals often treat a closely held family company like a partnership, which makes a buy-out the natural outcome when trust has broken down. Before filing, we look at the share register, any family settlement, who controls the bank accounts and who holds the property. See family business disputes and demerger.
Restoring a Loni company that still owned land
Here's a made-up example. A company in Loni had been struck off by the ROC for not filing returns for many years. It still owned an industrial plot, and the family found a buyer. The sub-registrar refused to register the sale.
We filed an application under Section 252 before NCLT Allahabad, with the title deed, property tax receipts and bank records in the company's name. The ROC asked for pending filings and costs. The bench restored the company on those conditions, the overdue returns were filed, and the sale went through.
